Terms and Conditions

These Terms and Conditions (the “Terms”) govern your access to and use of the websites, web applications, tools, data, and related services (collectively, the “Services”) provided by Vogt Strategic Insights (“VSI,” “we,” “us,” or “our”). By creating an account, checking the acceptance box, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Relationship to other agreements
If you or your organization has a separate written agreement with VSI (for example, an engagement letter, subscription agreement, or master services agreement), that agreement controls in the event of a conflict with these Terms. These Terms otherwise apply to all use of the Services.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Services. Accounts are issued to individuals and may not be shared. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access. You agree to provide accurate registration information and to keep it current.
3. Permitted use and license
Subject to these Terms, VSI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your organization’s internal business purposes. Reports, data extracts, maps, and other output you generate may be used internally and shared with your organization’s advisors, lenders, and investors in connection with the project for which they were produced, unless a separate agreement provides otherwise.
4. Prohibited conduct
You agree not to: (a) resell, redistribute, sublicense, or publicly disclose the Services or any substantial portion of the data without our written consent; (b) scrape, crawl, bulk-download, or use automated means to extract data beyond normal use of the interface; (c) reverse engineer, decompile, or attempt to derive the source code or underlying data models; (d) circumvent authentication, access controls, or usage limits; (e) upload malicious code or interfere with the operation or security of the Services; (f) use the Services for any unlawful purpose or in violation of any applicable fair-housing, privacy, or data-protection law; or (g) misrepresent the source of any output as your own independent analysis where VSI authorship is material.
5. Artificial intelligence and automated data extraction
You may not use artificial intelligence (“AI”) tools, large language models, machine-learning systems, AI agents, bots, or any other automated means to scrape, harvest, crawl, mine, copy, or otherwise extract data or content from the Services, or to train, fine-tune, or evaluate any AI or machine-learning model using data or content obtained from the Services, without VSI’s prior written consent. This prohibition applies whether the extraction is performed directly by you or through a third-party tool or service acting on your behalf or with your credentials.
If VSI determines, in its sole discretion, that a subscription account has been used to scrape or extract data by AI or other automated means, that account—and, at VSI’s discretion, any other account associated with the same subscriber—will be terminated automatically and without prior notice, and no refund of any subscription fees, whether prepaid or otherwise, will be issued. VSI reserves all other remedies available at law or in equity.
6. Intellectual property
The Services, including all software, databases, compilations, methodologies, report formats, trademarks, and content, are owned by VSI or its licensors and are protected by copyright, trademark, and other laws. Except for the limited license in Section 3, no rights are granted to you. Certain data is sourced from third parties (including U.S. government agencies) and remains subject to those parties’ terms.
7. Your content
You retain ownership of information you upload or enter into the Services (“Your Content”). You grant VSI a license to host, process, and display Your Content as needed to provide the Services and to produce the work you request. You represent that you have the right to provide Your Content and that it does not infringe the rights of any third party.
8. Data accuracy; no professional advice
Market, demographic, economic, and property data are compiled from sources believed reliable but are provided without guarantee of accuracy, completeness, or timeliness. Estimates, projections, and analytical outputs are opinions based on assumptions that may not materialize. The Services do not constitute legal, financial, investment, lending, appraisal, or tax advice. You are solely responsible for decisions made in reliance on the Services and should verify material facts independently.
9. Privacy
We collect account information (such as name, e-mail address, and organization) and usage information (such as login activity and pages accessed) to operate, secure, and improve the Services and to communicate with you about your account. We do not sell your personal information. If you opt in to e-mail updates you may unsubscribe at any time. Our Privacy Policy describes what we collect and how we use it in more detail. 10. Third-party services
The Services may integrate with or link to third-party services (for example, single sign-on providers and mapping services). Your use of those services is governed by their own terms, and VSI is not responsible for their content, availability, or practices.
11. Availability and changes
We may modify, suspend, or discontinue any part of the Services at any time, including for maintenance, and we do not guarantee uninterrupted access. We may update these Terms from time to time; the effective date above will change when we do. Continued use of the Services after a change constitutes acceptance of the revised Terms.
12. Suspension and termination
We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, if your organization’s subscription or engagement ends, or to protect the Services or other users. You may stop using the Services at any time. Sections 5, 6, 8, 13, 14, 15, and 16 survive termination.
13. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, VSI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VSI AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. VSI’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU OR YOUR ORGANIZATION PAID VSI FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE CLAIM.
15. Indemnification
You agree to indemnify and hold harmless VSI from any claims, losses, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your misuse of the Services, or Your Content.
16. Governing law and disputes
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Franklin County, Ohio, and you consent to the personal jurisdiction of those courts.
17. General
These Terms, together with any separate written agreement described in Section 1, are the entire agreement between you and VSI regarding the Services. If any provision is held unenforceable, the remainder will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
